CARION — Terms of Sale
Legal & Corporate

Terms of Sale

These Terms of Sale apply to all services contracted with CARION Aviation Services, whether through a formal service agreement, purchase order, written request or verbal confirmation. By engaging CARION for any service, the client agrees to these terms in full.

Document code: CARION-POL-06 Version: 01 Legal framework: Spanish Civil Code · Commercial Code · Royal Decree-Law 29/2021 · LSSI-CE Last updated: January 2026
1. Service Contracting & Confirmation
How services are contracted

Services may be contracted via signed service agreement, written purchase order, email confirmation or verbal authorisation. All contracts are subject to these Terms of Sale.

Advance notice

Standard services require a minimum of 4 hours advance notice. VIP, detailing and catering services may require longer lead times as specified in the individual service agreement.

Service confirmation

CARION will issue written confirmation of all contracted services. Absence of confirmation does not invalidate a verbal or email-based agreement.

2. Pricing & Quotations

All prices are quoted in Euros (€) and are exclusive of VAT (IVA) unless otherwise stated. Quoted prices are valid for 30 days from the date of issue unless a different validity period is specified in writing.

  • Prices are based on standard operating conditions. Additional charges may apply for out-of-hours operations, remote locations, hazardous materials handling or exceptional service requirements.
  • Fuel surcharges, airport access fees or third-party costs incurred on behalf of the client will be invoiced separately at cost.
  • CARION reserves the right to revise its standard rate schedule with 30 days written notice to ongoing clients.
3. Payment Terms
Payment deadline

Invoices are payable within 30 days of issue unless otherwise agreed in writing. New clients may be required to pay in advance or on delivery until a credit account is established.

Late payment

Overdue invoices accrue interest at the rate established by Spanish Law 3/2004 on combating late payment in commercial transactions. CARION reserves the right to suspend services for accounts in arrears.

Payment methods

Payment is accepted by bank transfer (SEPA or international wire). Accepted account details are specified on each invoice. CARION does not accept cash payments for contracted services.

4. Cancellation & Modifications
  • Cancellation with more than 24 hours notice: No charge applies.
  • Cancellation between 4 and 24 hours notice: 50% of the contracted service value will be invoiced.
  • Cancellation with less than 4 hours notice or no-show: 100% of the contracted service value will be invoiced.
  • Service modifications: Changes to scope, aircraft type or service timing requested within 2 hours of the scheduled service may incur additional charges.
  • Force majeure events (weather, ATC restrictions, airport closures) will be assessed individually and charges waived where applicable.
5. Liability & Limitation

CARION operates with the diligence and professional standards expected of a specialist aviation ground services provider. Our liability is governed as follows:

Aircraft damage

In the event of damage caused directly by CARION personnel during service delivery, liability is limited to the coverage provided under our Aviation Liability policy. Claims must be reported within 24 hours of service completion.

Exclusions

CARION accepts no liability for pre-existing damage, damage caused by third parties, delays arising from airport authority restrictions, or losses resulting from inaccurate or incomplete information provided by the client.

Maximum liability

In no event shall CARION's total liability for any single claim exceed the value of the contracted services giving rise to that claim, unless otherwise required by applicable law.

6. Governing Law & Dispute Resolution

These Terms of Sale are governed by Spanish law. In the event of a dispute, the parties agree to seek resolution through good-faith negotiation in the first instance. If no resolution is reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Madrid, Spain.
